Environmental, Social and Governance (ESG) Statement

The Upgrade Authority Ltd (TUA)

At The Upgrade Authority, ESG is more than a framework, it is embedded in how we build technology, manage properties, and engage with stakeholders. As a high-growth PropTech group with operations spanning software, property management, and travel distribution, we recognise our responsibility to create positive environmental and social impact while maintaining the highest standards of governance.

What ESG means for us

We are committed to building a sustainable business that supports landlords, agents, travellers, and communities in a responsible way. ESG factors influence how we design our platform, deliver services, and scale our operations. From energy efficiency in managed properties, to diversity in our team, to ethical handling of data, we ensure ESG is central to every stage of our growth.

Our Core Principles

  • Environment
    • Promote sustainable property management practices, including energy-efficient appliances, waste reduction, and eco-conscious cleaning.
    • Encourage landlords and partners to adopt greener choices by embedding sustainability recommendations into our platform’s analytics.
    • Reduce our own carbon footprint by prioritising digital-first operations and minimising unnecessary travel.
  • Social
    • Maintain a diverse and inclusive workplace, supporting underrepresented groups in tech and property.
    • Provide safe, fair, and flexible working conditions for our team, including hybrid arrangements and progression pathways.
    • Ensure fair treatment of landlords, tenants, and guests, with clear contracts and accessible digital tools.
    • Design our software and booking platform to be ethical, transparent, and user-centric, avoiding exploitative or misleading practices.
  • Governance
    • Maintain transparency with investors through regular reporting and updated cap tables.
    • Operate with zero tolerance for bribery, corruption, or misuse of data.
    • Prioritise compliance with UK law and international standards on human rights, anti-corruption, labour, and privacy.

How we operationalise ESG

  • Exclusion list: We do not work with landlords or partners engaged in unlawful, discriminatory, or environmentally damaging practices.
  • Due diligence: ESG considerations are factored into onboarding new landlords, contractors, and partners.
  • Product design: Our PMS integrates responsible features such as tenant screening, contract compliance, and landlord transparency tools.
  • Portfolio management: For managed properties, we monitor sustainability impact (e.g. energy efficiency ratings, waste practices) and encourage improvements.
  • Data security: We maintain strict policies to protect user, landlord, and guest data across all systems.

ESG in our firm

We hold ourselves to the same standards we set for partners:

  • Diversity & Inclusion: We are building a team and advisory board that represents a wide range of backgrounds and experiences.
  • Good governance: All key decisions are made transparently, aligned with shareholder agreements, and overseen by our Board.
  • Investor alignment: We ensure that B-shareholders benefit economically from the group’s success while A-shareholders provide voting oversight to safeguard governance.

ESG leadership

TUA is committed to being a leader in responsible PropTech growth. By combining sustainable property practices with innovative software, we aim to create long-term value for our investors, clients, and communities. As we scale nationally and internationally, we will continue to review and strengthen our ESG commitments in line with best practice.
